Terms and conditions

Last updated: [pending publication date]

1. Purpose

These terms govern the contracting of the Kulram service (the "Platform"), a document automation solution offered as a subscription (SaaS), by companies and professionals (the "Customer"). By subscribing to a plan, the Customer accepts these terms together with the privacy policy.

The Customer declares that they are acting within the scope of their professional or business activity. Kulram is not intended for end consumers acting outside that scope.

2. Plans, pricing and payment

Available plans, their prices, the number of AI reads included and each plan's features are those published on kulram.com at the time of subscribing. Prices are shown in euros and include applicable taxes unless stated otherwise.

Kulram may change plan prices and features at any time. Price changes will not affect an already-started billing period and will be communicated to the Customer with reasonable notice before applying to the next renewal.

Payment is processed through Stripe via recurring billing (monthly, depending on the plan). Kulram does not store card or payment details on its own servers.

In addition to subscription plans, the Customer may purchase additional AI read packs as a one-time payment, with no commitment period or automatic renewal.

3. Duration, renewal and cancellation

The subscription renews automatically for successive periods equal to the contracted plan (monthly), unless the Customer cancels it before the next renewal.

The Customer may cancel at any time, without needing to give a reason or comply with any minimum commitment period, from their account's admin panel or by requesting it at support@kulram.com. Cancellation takes effect at the end of the already-paid billing period: the Customer keeps access until that date and no further charges will be made afterwards.

Kulram may suspend or cancel a Customer's access in case of non-payment, fraudulent use, or serious breach of these terms, with prior notice whenever reasonably possible.

4. Refund policy

Amounts already charged are non-refundable, including partially used subscription periods and AI read packs purchased as a one-time payment, unless applicable law expressly provides otherwise or Kulram exceptionally decides otherwise at its sole discretion.

This does not affect any rights the Customer may have under mandatory law applicable in their country of establishment.

5. AI credits

Each plan includes a monthly number of AI reads that renews each billing cycle and does not carry over month to month, except for credits purchased through one-time packs, which do not expire. Credit consumption is calculated based on the type of document processed (simple or complex read), as described on the Platform.

6. Customer responsibility for documents

The Customer is responsible for the legality, accuracy and content of the documents they process through the Platform, and for having a sufficient legal basis for processing any personal data those documents may contain. Kulram acts as a data processor with respect to that data, under the terms described in the Data Processing Addendum (DPA), which forms an integral part of these terms, and the privacy policy.

The Customer is advised not to process documents containing especially sensitive data (health, trade union membership, etc.) through the AI features without first verifying that adequate safeguards are in place.

7. Service availability

Kulram will try to keep the Platform continuously available but does not guarantee uninterrupted availability. There may be interruptions due to maintenance, technical reasons or force majeure. Kulram will not be liable for damages arising from the temporary unavailability of the service, without prejudice to reasonable measures taken to minimize it.

8. Limitation of liability

To the maximum extent permitted by applicable law, Kulram's total liability towards the Customer for any claim arising from the service will be limited to the amount actually paid by the Customer in the [12] months prior to the event giving rise to the claim. Kulram will not be liable for indirect damages, loss of profit, or data loss resulting from misuse of the Platform by the Customer.

Nothing above limits liability in cases where the law does not allow it to be limited (e.g., willful misconduct or gross negligence).

9. Intellectual property

Kulram retains all rights over the Platform, its code, brand and design. The Customer retains all rights over the documents and data they enter into the Platform; Kulram does not acquire any license over them beyond what is strictly necessary to provide the service.

The Client may not decompile, reverse engineer, redistribute, resell, sublicense, or remove any ownership or trademark notices from the Kulram desktop application, except to the extent mandatorily permitted by applicable law. Access to the desktop application is tied to an active user account and may not be shared or transferred to third parties outside the Client's organization.

10. Changes to these terms

Kulram may update these terms to reflect changes in the service or in applicable regulations. Substantial changes will be communicated to the Customer at least 15 days before they take effect. Continued use of the service after the changes take effect implies acceptance of them.

11. Governing law and jurisdiction

These terms are governed by Spanish law. For any dispute, the parties submit to the courts of [city pending], without prejudice to any protections the Customer may have under mandatory law in their own country if acting as a consumer.
